Introduction
These Terms of Service ("Terms") govern the use of "Sales Anchor" ("Service") provided by HIGH LIFE JPN ("we," "us," or "our").
By using the Service, customers ("Users") agree to be bound by these Terms.
These Terms are to be read in conjunction with our Privacy Policy.
Scope of These Terms
These Terms apply to corporations or sole proprietors using the Service for business purposes. The Service is intended for B2B (business-to-business) use and is not directed at consumer transactions.
Article 1. General Provisions
1.1 Scope of Application
These Terms apply to all relationships between us and Users concerning the use of the Service.
1.2 Agreement to Terms
Users are deemed to have agreed to these Terms by:
- Applying for Service registration
- Logging into the Service
- Using the Service
1.3 Relationship with Individual Agreements
In addition to these Terms, we may establish individual agreements for specific features or plans. In case of conflict, individual agreements shall prevail.
Article 2. Definitions
In these Terms, the following terms have the following meanings:

| Content | Messages, files, images, data, and other information |
Article 3. Service Description
3.1 Service Overview
The Service is a multi-channel integrated CRM primarily targeting B2B Trading Card Game exporters ("TCG Exporters").
3.2 Provided Features
The Service provides:
- Customer information management (customer master, contacts, transaction history)
- Multi-channel message integration (Messenger, Instagram, WhatsApp, Discord, Telegram, Email, etc.)
- Deal and lead management
- Quote, invoice, and shipping management
- Reports and analytics
- Other features added or modified by us from time to time
3.3 Use of Third-Party Services
The Service operates in conjunction with Meta Platform, Google Identity Platform, and other third-party services. The use of these services is subject to their respective terms of service.
Regarding Meta Platform Usage: When using Meta Platform features such as Messenger and Instagram through the Service, Users must comply with Meta Platforms, Inc.'s Terms of Service and Platform Policies. We are not responsible for any restrictions on Users' Facebook Pages resulting from violations of Meta Platform policies.
Article 4. Registration and Account
4.1 Registration
Those wishing to use the Service shall apply for registration in the manner prescribed by us.
We may refuse registration in the following cases:
- If the application contains false or inaccurate information
- If the applicant has violated these Terms in the past
- If the applicant is or has connection with anti-social forces
- Other cases deemed inappropriate by us
4.2 Account Management
Users shall manage their account information (login ID, password, etc.) at their own responsibility, including:
- Not disclosing, lending, or transferring account information to third parties
- Immediately notifying us if account information is leaked or misused
- Acknowledging that all actions through the account are deemed their own actions
4.3 Account Types
The Service provides the following account types:
- Owner Account — Full management authority over the tenant
- Administrator Account — System configuration authority
- General Account — Regular business use
Article 5. Fees and Payment
5.1 Pricing Plans
The pricing plans of the Service are as published on our website (https://salesanchor.jp). Pricing plans may be changed without prior notice.
5.2 Payment Methods
Users shall pay fees using methods specified by us:
- Credit card payment
- Bank transfer
- Other methods approved by us
5.3 Payment Delays
If Users fail to pay fees by the due date, we may:
- Charge late payment interest at 14.6% per annum
- Suspend Service use
- Terminate the account
5.4 Refunds
As a general rule, paid fees are non-refundable. However, in cases of prolonged Service outage due to our material negligence, we will address the matter through separate consultation.
Article 6. Prohibited Activities
Users must not engage in the following activities when using the Service:
6.1 Legal and Public Policy Violations
- Acts that violate laws or public policy
- Criminal acts or acts that encourage them
- Acts that provide benefits to anti-social forces
6.2 Interference with Service Operations
- Acts that interfere with Service operations
- Acts that impose excessive load on our servers
- Exploitation of security vulnerabilities
- Reverse engineering or source code analysis
- Reproduction, modification, or creation of derivative works of the Service
6.3 Unauthorized Access and Impersonation
- Unauthorized access to others' accounts
- Impersonating others
- Unauthorized acquisition of account information
6.4 Meta Platform Policy Violations
- Acts that violate Meta Platform Terms
- Inappropriate messages outside the 24-hour window
- Sending spam messages
- Collecting information without End User consent
6.5 Prohibited Content
- Content that infringes copyright, trademark, or other intellectual property rights
- Obscene, violent, discriminatory, or defamatory content
- Content that violates third-party privacy
- Content containing malware or viruses
6.6 Competitive Intelligence and Unauthorized Data Collection
The following activities are strictly prohibited, regardless of technical method:
- Competitor registration for intelligence gathering: Registering for the Service on behalf of, or for the purpose of benefiting, a competing business, product, or service, or for the purpose of collecting intelligence about the Service's features, pricing, workflows, or customer data
- Automated scraping: Using bots, crawlers, scripts, browser automation tools, or any other automated means to access, extract, copy, or monitor any part of the Service or its data without our prior written consent
- Bulk data export for competitive purposes: Systematically downloading, exporting, or reproducing customer lists, lead data, pricing information, message templates, or any other proprietary platform data for purposes outside of the User's own legitimate business operations
- Reverse engineering for competitive purposes: Accessing the Service for the purpose of building a similar or competing product, benchmarking against the Service for competitive sales or marketing activities, or disclosing non-public Service features to third parties
- Third-party data resale: Sharing, selling, or licensing any data obtained through the Service to third parties, including competitors, data brokers, or market research firms, without our prior written consent
Violation of this section may result in immediate account suspension, legal action for damages, and reporting to relevant authorities. We reserve the right to monitor API usage patterns and bulk data access for the purpose of detecting and preventing violations of this section.
Article 7. Suspension and Changes to the Service
7.1 Scheduled Maintenance
We will conduct regular maintenance necessary for Service operations. As a general rule, maintenance will be notified in advance.
7.2 Emergency Response
We may suspend the Service without prior notice in the following cases:
- Response to system failures or cyber attacks
- Force majeure such as natural disasters or legal changes
- Failures of Meta Platform or other third-party services
- Other cases requiring urgent response
7.3 Service Changes
We may change, add, or remove Service features without prior notice. Important changes will be notified in advance.
7.4 Service Termination
We may terminate the Service for business reasons. In case of Service termination, we will notify Users at least 3 months before the termination date.
Article 8. Disclaimer and Limitation of Liability
8.1 As-Is Service
The Service is provided on an "as-is" basis. We do not warrant that the Service will meet Users' specific purposes, operate without errors, or be continuously available.
8.2 Disclaimer
We shall not be liable for:
- Lost profits or business opportunities arising from use of the Service
- Disputes between Users and third parties (including End Users)
- Impacts from failures or changes to Meta Platform or other third-party services
- Damages from leakage of User account information (except for intentional or gross negligence by us)
- Content sent or received by Users
- Service interruptions, delays, stoppages, or data loss due to communication line or computer failures
8.3 Limitation of Liability
Our total liability to Users shall not exceed the total fees paid by the User to us during the 12 months prior to the occurrence of the event causing the damage.
However, this limitation does not apply in cases of intentional acts or gross negligence by us.
Important Notice: The Service is used by Users as part of their business operations at their own responsibility. Users are responsible for ensuring appropriate backups and alternative means, and not over-relying on the Service.
Article 9. Intellectual Property Rights
9.1 Intellectual Property of the Service
All intellectual property rights in the Service (copyrights, trademarks, patents, design rights, know-how, etc.) belong to us or rightful owners. Users do not acquire any intellectual property rights through use of the Service.
9.2 User Content
Intellectual property rights in content stored by Users in the Service (customer information, messages, files, etc.) belong to Users or rightful owners.
However, Users grant us the right to use such content (reproduction, distribution, backup, etc.) to the extent necessary for Service provision.
9.3 End User Data Handling
When Users store or process End Users' personal information in the Service, they shall:
- Comply with applicable personal information protection laws
- Provide appropriate notice to and obtain consent from End Users
- Comply with Meta Platform and other third-party service terms
Article 10. Confidentiality
10.1 Definition of Confidential Information
In this article, "Confidential Information" means:
- Customer information and transaction information stored by Users in the Service
- Technical information and know-how of the Service provided by us
- Information disclosed as confidential by either party
10.2 Confidentiality Obligations
Both we and Users shall not disclose or leak Confidential Information to third parties without prior written consent of the other party.
Exceptions:
- Disclosure required by law or court order
- Publicly known information
- Disclosure to service providers necessary for Service provision (subject to NDA)
Article 11. Contract Period and Termination
11.1 Contract Period
The contract period for the Service is from the date of registration completion until termination by the User or cancellation by us.
11.2 Termination by User
Users may terminate the Service at any time using the method prescribed by us.
Important notes upon termination:
- Fees until the termination date are charged in full, not prorated
- User data will be deleted within 90 days after termination
- Data export must be completed before termination
11.3 Cancellation by Us
We may cancel registration without prior notice if the User:
- Violates these Terms
- Fails to pay fees
- Provided false account information
- Is otherwise deemed inappropriate by us
Article 12. Changes to These Terms
12.1 Amendment Procedure
We may amend these Terms in the following cases, through methods prescribed by the Civil Code:
- When the amendment is in the general interest of Users
- When the amendment does not contradict the purpose of the contract and has reasonable grounds
12.2 Notification Method
When amending these Terms, we will notify Users of changes by:
- Notifications on the Service dashboard
- Email to registered addresses
- Publication on our website (https://salesanchor.jp)
- Providing at least 14 days' notice period from the effective date
Article 13. Governing Law and Jurisdiction
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Japan.
13.2 Jurisdiction
For disputes regarding these Terms or the Service, the Tokyo District Court or Tokyo Summary Court shall have exclusive jurisdiction as the court of first instance, depending on the claim amount.
13.3 Resolution through Consultation
For matters not stipulated in these Terms or in case of doubt regarding interpretation, we and Users shall resolve the matter through good-faith consultation.
